1. About these terms
These Terms of Service ("Terms") govern your use of the Veratlas website at veratlas.com and any services provided by MPM ICT Services B.V. ("we," "us," or "Veratlas"), a private limited company registered in the Netherlands.
By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
Specific service engagements (assessments, sprints, managed services) are governed by a separate written agreement or Statement of Work, which takes precedence over these Terms where there is a conflict.
2. Website use
2.1 Permitted use
You may use our website for lawful purposes and in accordance with these Terms. You agree not to:
- Use the website in any way that violates applicable law or regulation
- Transmit unsolicited commercial communications or spam
- Attempt to gain unauthorized access to any part of our website or related systems
- Use automated tools to scrape, crawl, or extract content without our prior written consent
- Introduce malicious code, viruses, or other harmful material
2.2 Accuracy of information
We make reasonable efforts to keep the content on our website accurate and up to date. However, we make no warranties about the completeness, accuracy, or fitness for purpose of any content. Pricing, service scope, and availability are subject to change without notice.
3. Services
3.1 Engagement
Submitting a contact form or booking a Fit Call does not constitute a binding agreement. A services engagement only becomes binding when a written agreement or Statement of Work is signed by both parties.
3.2 Scope and deliverables
The specific scope, deliverables, timeline, and commercial terms for each engagement are defined in the applicable Statement of Work or service agreement. We reserve the right to decline any engagement at our sole discretion.
3.3 Client obligations
To receive our services, clients agree to:
- Provide accurate and complete information about their environment and requirements
- Designate a point of contact with authority to make decisions
- Provide timely access to systems, tools, and personnel as required by the agreed scope
- Implement recommendations within agreed timelines where applicable
3.4 Results and outcomes
We provide security and compliance services with professional care and skill. However, we cannot guarantee specific outcomes such as certification approvals, audit results, or the prevention of all security incidents. Security is a continuous discipline — our services reduce risk, not eliminate it.
4. Intellectual property
4.1 Our content
All content on our website — including text, graphics, logos, and design — is the property of MPM ICT Services B.V. and is protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works without our prior written consent.
4.2 Deliverables
Deliverables produced specifically for a client engagement (reports, policies, implementation artefacts) become the property of the client upon full payment, except for any pre-existing tools, templates, or methodologies we use to produce them, which remain our property.
5. Confidentiality
Each party agrees to keep the other's confidential information (including business plans, technical data, pricing, and client lists) confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of any engagement by three (3) years.
6. Limitation of liability
To the maximum extent permitted by Dutch law, MPM ICT Services B.V. shall not be liable for:
- Indirect, incidental, or consequential damages arising from use of our website or services
- Loss of revenue, data, or business opportunities
- Security incidents that occur despite our recommendations being implemented
Our total aggregate liability for any claim arising out of or in connection with our services shall not exceed the total fees paid by the client in the three (3) months preceding the event giving rise to the claim.
7. Payment terms
Unless otherwise agreed in writing:
- Invoices are due within 14 days of issue
- Fixed-price engagements (Assessment, Sprint) require a deposit before work commences; the balance is due upon completion
- Managed service subscriptions are billed monthly in advance
- Late payments accrue statutory commercial interest under Dutch law (Wettelijke handelsrente)
8. Termination
Either party may terminate an engagement in accordance with the terms of the applicable service agreement. For managed services, the minimum engagement period and notice requirements are specified per tier. We reserve the right to suspend services immediately if payment is more than 30 days overdue after written notice.
9. Governing law and disputes
These Terms and any disputes arising from them are governed by the laws of the Netherlands. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands. Where possible, we will seek to resolve disputes amicably before initiating formal proceedings.
10. Changes to these terms
We may update these Terms from time to time. We will post the revised version on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
